By accessing or using Placed ("Platform," "Service," or "we"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services. These Terms apply to all users, including brands, productions, and visitors.

2. Description of Service

Placed is a marketplace platform that connects brands with productions for product placement opportunities in film and television productions. We provide tools for listing products, posting production requests, and facilitating communications between parties.

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By creating an account, you represent and warrant that you meet these requirements.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.

3.3 Account Types

Accounts are categorized as Brand or Production accounts. You must provide accurate information about your account type and intended use of the platform.

4. User Responsibilities

4.1 Prohibited Activities

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights of others
  • Post false, misleading, or fraudulent content
  • Harass, abuse, or harm other users
  • Transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to our systems
  • Use automated systems to access the platform without permission
  • Circumvent any security features of the platform

4.2 Content Standards

All content you post must be accurate, lawful, and not violate any third-party rights. You are solely responsible for your content and its consequences.

5. Intellectual Property

5.1 Platform Ownership

Placed and its original content, features, and functionality are owned by Placed and are protected by international copyright, trademark, and other intellectual property laws.

5.2 User Content License

By posting content on the platform, you grant Placed a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of operating and promoting the platform.

5.3 Retention of Rights

You retain all ownership rights to your content. We do not claim ownership of any content you submit.

6. Transactions and Agreements

Placed facilitates connections between brands and productions but is not a party to any agreements between users. All negotiations, contracts, and arrangements are solely between the relevant parties. We are not responsible for disputes arising from such transactions.

7. Fees and Payments

Certain features of the platform may require payment of fees. All fees are non-refundable unless otherwise stated. We reserve the right to change our pricing at any time with reasonable notice.

8. Termination

8.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature.

8.2 By Us

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any other reason at our sole discretion, with or without notice.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that the platform will be uninterrupted, secure, or error-free. We are not responsible for the accuracy or reliability of any content posted by users.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLACED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or relating to the platform shall not exceed the amount you paid us in the twelve (12) months prior to the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Placed and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the platform or your violation of these Terms.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the platform and updating the "Last Updated" date. Your continued use of the platform after such changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
